Yes — digital contracts and electronic signatures are legally binding in the United States (under ESIGN Act and UETA), the European Union (eIDAS Regulation), the UK, Canada, and Australia. To be enforceable, an e-signature must show the signer's intent to sign, their identity, and consent to do business electronically. The essential clauses for a freelance or agency contract are: scope of services, deliverables and revision rounds, payment schedule with late fee terms, intellectual property assignment (who owns the work), confidentiality (NDA), termination conditions for both parties, limitation of liability (caps your exposure if something goes wrong), and governing law (which state/country's laws apply). Missing any of these — especially IP and termination — is where most disputes originate.
Without an explicit IP clause, ownership of creative work can be ambiguous. In many jurisdictions, the creator owns copyright by default — not the person who paid for it. Your contract should specify exactly when IP transfers to the client (usually upon receipt of final payment in full). Until full payment is received, you retain ownership. This clause is also your leverage if a client tries to use your work before paying.
Your contract should include a change order process: any work outside the original scope requires a written change order signed by both parties before the work begins. A simple change order form includes a description of the new work, the additional fee, and the impact on the timeline.
